| dc.description.abstract | Yönetim kurulu anonim şirketin zorunlu organlarından biridir; şirketi yönetir ve temsil eder. Bundan dolayı yönetim kurulu, yönetim ve temsil yetkisine sahiptir. Anonim şirketin yönetim ve temsil yetkileri Türk Ticaret Kanunu’nda ayrı başlıklarda düzenlenmiştir. Yönetim kurulu yetkisini devretse dahi üst gözetim görevi vardır. Yönetim kurulu yetkisini, mer’i mevzuata, esas sözleşmeye ve şirket içi kurallara uygun olarak kullanır. Yetkiyi yükümlülüklere uygun olarak kullanma, özellikle özen ve sadakat yükümlülüğü başta olmak üzere yükümlülüklere uygun davranılmasını gerektirir. Anonim şirket yöneticilerinin yükümlülükleri ve sorumluluğu Türk Ticaret Kanunu’nda yer almıştır. Bu yükümlülük ve yasakların yönetim kurulu üyeleri tarafından ihlal edilmesi hem hukuki hem de cezai sorumluluğu doğurur. Dolayısıyla anonim şirket yönetim kurulu üyelerinin cezai sorumlulukla bağlantılı hukuki sorumluluğu vardır. Yönetim kurulu üyelerinin etkin, verimli ve hukuka uygun olarak çalışabilmesi Türk Ticaret Kanunu ile belirlenen haklara, yasaklara ve sorumluluk alanlarına riayet edilmesine bağlıdır. Bu anlamda anonim şirket yönetim kurulu üyelerinin şirket menfaatlerini ön planda tutması ve tedbirli bir yönetici gibi hareket etmesi gerekmektedir. Yönetim kurulu üyelerinin özen yükümlülüğünde özen kıstasının ispat yükünün hangi tarafta olduğu konusunda, yönetim ve yetkilerin devrinde yetkilerin devredildiği kişilerin seçiminde gerekli özenin gösterilmediğinin ispatı dışında, Türk Ticaret Kanunu’nda genel bir hükme yer verilmemiştir. | en_US |
| dc.description.abstract | The Board of Directors is one of the mandatory body of joint stock companies and it manages and represents the company. Therefore, the board of directors has the authority of management and representation. The management and representation authorities of the joint stock company are regulated under separate headings in the Turkish Commercial Code. Even if the board of directors delegate its authority, it has the duty of top supervision. The board of directors exercises its authority in accordance with the current legislation, articles of association and internal boards of the company. Proper use of authority requires compliance with obligations, especially due diligence and loyalty. The obligations and responsibilities of joint stock company managers are included in the Turkish Commercial Code. Therefore the members of the board have civil liability in connection to their criminal liability in joint stock companies. Violation of these obligations and prohibitions by the members of the board of directors entails both civil and criminal liabilities. The effective, efficient and lawful functioning of the members of the board of directors depends on the observance of the rights, prohibitions and areas of liability determined by the Turkish Commercial Code. In this sense, the members of the board of directors of joint stock companies should prioritize the interests of the company and act as a prudent executives. Apart from the burden of proving that the director acted with due care in selecting the person to whom management functions are delegated, Turkish Commercial Code does not include a general provision on which side is the burden of proof for showing that the standard of care was met. | en_US |
