| dc.description.abstract | Türk hukukunda haklı sebeple fesih, diğer şirket türlerinde düzenlenmiş olmasına rağmen anonim şirketlerde düzenlenmemiştir. Azınlık pay sahiplerine tanınan mevcut haklar çoğunluk gücünün kötüye kullanılmasını önleme konusunda yetersiz kalmıştır. Bundan dolayı TTK Tasarısı'nda anonim şirketlerin haklı sebeple feshine de yer verilmiştir. Anonim şirketlerin feshi pay sahipleri ve diğer menfaat sahipleri açısından çeşitli olumsuz sonuçlar doğurabilir. Bu sebeple feshin son çare olarak uygulanmasına yönelik bazı düzenlemeler yapılmıştır. Buna göre anonim şirketin feshine karar verilmeden önce bazı alternatif çözüm yollarının da araştırılması gerekmektedir. Bu konuda başvurulacak çözüm yollarından birisi de davacı pay sahiplerinin ortaklıktan çıkarılmasıdır. | en_US |
| dc.description.abstract | Under Turkish law unlike other company types, the applications concerning the termination of the joint stock corporation with good reason is not regulated explicitly. The existing rights which are granted to the minority shareholders are inefficient to prevent the abuse of majority power. Therefore the possibility of the termination of the joint stock corporation with good reason has been included in the Draft Turkish Commercial Code. The termination may cause some negative consequences for shareholders and other stakeholders. For this reason some arrangements have been made about the application of the termination as a last resort. Accordingly, some alternative remedies must also be examined before the decision of the termination of the company. One of the remedies in this regard is the expulsion of the plaintiff shareholders. | en_US |
