Özet
Öz Türk Medeni Kanunu (TMK) m 101 hükmünde vakıf, “gerçek veya tüzel kişilerin yeterli mal ve hakları belirli ve sürekli bir amaca özgülemeleriyle oluşan tüzel kişiliğe sahip mal toplulukları” olarak tanımlanmıştır. Vakıf senedinde TMK m 106 hükmüne göre, vakfın adı, amacı, bu amaca özgülenen mal ve haklar, vakfın örgütlenme ve yönetim şekli ile yerleşim yeri (ikametgâhı) gösterilmelidir. Vakfın bu unsurlarının vakıf senedinde yer alması zorunludur. Vakfın zorunlu unsurları bakımından senette bulunan noksanlıklar TMK m 107 hükmüne göre tamamlanır. Vakıf senedinin tamamlanması tescilden önce veya sonra yapılabilir. Vakıf senedinin zorunlu unsurundaki noksanlıkların giderilmemesi halinde ise, kural olarak vakfın tescili talebi mahkeme tarafından ret edilecektir.
Abstract In the Turkish Civil Code (TMK) Article 101 provision, foundations are defined as “communities with legal personality formed by real or legal persons assigning sufficient goods and rights to a specific and permanent purpose”. As a rule, publicdeed of foundation (The constitutive document of foundation or foundation deed) cannot be changed. In public deed of foundation, name of foundation, its purpose, property and rights reserved for this purpose, the organization and management of foundation and place of residence should be indicated, according to Article 106 of the TMK. These elements of the foundation must be included in foundation deed. Provided that the purpose of foundation and goods and rights allocated for this purpose are specified, in case of deficiencies in these mandatory elements, these deficiencies are completed in accordance with the procedure in TMK m 107. If the deficiencies in the mandatory element of the foundation deed are not corrected, there quest for registration of the foundation will be rejected by the court as a rule.
