dc.description.abstractAnonim şirketlerde yönetim kurulunun sorumluluğu, şirketler hukukunun en çok üzerinde durulan ve sıkça uyuşmazlıklara sahne olan konuları arasındadır. Hukukumuzda bu sorumluluk, sorumluluk davası yolu ile işletilir.6102 sayılı Türk Ticaret Kanunu'nda şirket adına açılacak sorumluluk davalarında dava açılması kararının nasıl alınacağına ilişkin açık bir hüküm bulunmamaktadır. Bu kararın alınması, ilk bakışta genel görevli ve yetkili organ olan yönetim kurulunun yetkileri içinde değerlendirilebilir. Ancak bu durum uygulamada bazı sakıncalar doğurabilecek niteliktedir.Yönetim kurulu aleyhine açılacak sorumluluk davasında şirketin temsili de tespiti gereken bir başka meseledir. 6102 sayılı yeni TTK ile denetçiler organ olmaktan çıkarılmış ve bununla birlikte davada temsile ilişkin açık bir düzenlemeye yer verilmemiştir. Bu halde yeni hükümler çerçevesinde açılacak sorumluluk davasında şirketin temsilinin ne şekilde gerçekleştirileceği belirlenmelidir. Sorumluluk davası açılmasında genel görevli ve yetkili organ olması nedeniyle yine yönetim kurulunun yetkili olduğunun kabulü gerekir. Ancak dava açılması kararına paralel olarak, bu durum da uygulamada sakıncalar doğurmaya elverişlidir.Söz konusu çekinceler karşısında, anonim şirketlerde sorumluluk davası açma kararının hangi organ tarafından alınması gerektiği ve açılacak davada şirketin temsili meseleleri hukuken kabili mümkün bir yorum yöntemi ile tespit edilmelidir.en_US
dc.description.abstractThe responsibility of the board of directors of joint stock companies is among the issues that were mostly emphasized on by company law and the topics are often that has witnessed disputes. This responsibility is executed by way of liability lawsuits in our law.In the Turkish Commercial Code No. 6102, there are no clear provisions on how to take the decision to prosecute in the liability lawsuits will be opened in the name of the company. The receipt of this decision, at first glance, may be considered in the competence of board which is general official organ and competent body. However, this situation can lead to some prejudices in practice.The company representation is also one of the issues that have to be determined in a liability lawsuit opening against the board of directors. Auditors have been excluded from being an organ with the new TCC No. 6102 and however, and it does not provide a clear arrangement for representation in the lawsuit. In this case, it must be determined under the new provisions how to represent the company in liability lawsuit that will be opened. In opening the liability lawsuit, the authority of board should be recognized due to being the general official organ and competent body. However, this situation is also convenient to cause prejudices in practice as parallel with the decision to prosecute.Because of the mentioned prejudices, the issues of which organ should take the decision to open liability lawsuit in joint stock companies and the representation of the company in that lawsuit must be determined by an interpretation method that legally possible.en_US
