Özet
Kat karşılığı inşaat sözleşmelerinde, mülkiyet hakkı sahibi arsa sahibi olduğundan kural arsa ile ilgili iş ve işlemlerin arsa sahibi tarafından yerine getirilmesi gerekir. Ancak uygulamada bu işlerin yerine getirilmesi için yükleniciye geniş yetkiler içeren vekalet verilmektedir. Yüklenici kendisine verilen vekaletle üstlendiği iş ve hizmetleri, arsa sahibinin haklı yararlarını gözeterek, sözleşmenin amacına uygun olarak, sadakat ve özenle yürütmekle yükümlüdür. Yüklenici kendisine verilen vekâleti, arsa sahibinin menfaat ve çıkarların aykırı olarak, zarar verme kastı ile kullanırsa ve bu sebeple arsa sahibinin maddi veya manevi zararları ortaya çıkarsa, vekâleti kötüye kullanmış olur. Vekaletin kötüye kullanılması halinde, yüklenici arsa sahibinin bu sebeple uğradığı zararlar tazmin etmelidir. Özellikle vekalet yetkisini kullanarak, arsa üzerinde yaptığı işlemlerin iptali söz konusu olur. Yüklenici vekaleti kötüye kullanarak üçüncü kişilere, devirler yapmışsa üçüncü kişilerin sorumluluğu da söz konusu olabilir. Üçüncü kişiler, kötü niyetli ise, vekaletin kötüye kullanıldığını biliyorsa, arsa sahibinin hakları çerçevesinde, üçüncü kişilere yapılan devirler iptal edilir.
In construction contracts in return for flat, as the owner of the property right is the owner of the land, it is a rule that the works and transactions related to the land must be fulfilled by the land owner. However, in practice, the contractor is given a power of attorney with broad powers to perform these works. The contractor is obliged to carry out the works and services undertaken by the power of attorney given to him, by considering the rightful benefits of the land owner, in accordance with the purpose of the contract, with loyalty and care. If the contractor uses the power of attorney given to him with the intention of causing harm contrary to the interests and interests of the land owner, and if material or moral damages occur to the land owner due to this reason, he/she will have abused the power of attorney. In case of abuse of power of attorney, the contractor must compensate the land owner for the damages incurred due to this. In particular, by using the power of attorney, the transactions made on the land are canceled. If the contractor has made transfers to third parties by abusing the power of attorney, third parties may also be liable. If the third parties are in bad faith and know that the power of attorney has been abused, the transfers made to third parties are canceled within the framework of the rights of the land owner
